1. Who we are and how these Terms work

These Terms of Service (the “Terms”) are a binding agreement between Edvard Zeke Julius Witasp Gruvelgard, doing business as Efficio (“Efficio,” “we,” “us,” or “our”), and the person or business that creates an account, completes onboarding, accepts these Terms, or uses the Platform (“you” or the “Owner”). The Platform is Efficio’s digital marketing platform for creating, hosting, managing, optimizing, and measuring business websites built for search visibility, AI-search visibility, and conversion.

If you accept these Terms for a company, organization, agency client, or other legal entity, you represent that you have authority to bind that entity. If you do not have that authority, or if you do not agree to these Terms, you must not use the Platform. You must be at least 18 years old and capable of entering into a binding contract.

These Terms incorporate the Privacy Policy and Content Policy. Additional written order forms, invoices, subscription terms, data processing terms, or administrator-approved billing settings may also apply. If there is a conflict, the more specific written agreement signed or accepted by Efficio controls for the conflicting subject matter.

2. Key definitions

For clarity, these Terms use the following meanings:

  • Platformmeans Efficio’s software, dashboards, public platform website, website generator, editor, hosting and domain features, lead capture tools, billing tools, analytics, support, APIs, workers, and related services.
  • Published Site means a business website created, hosted, edited, or published through the Platform, including any site served on an Efficio domain, a platform subdomain, or a custom domain.
  • Visitormeans a person who visits a Published Site or Efficio’s public platform website.
  • Lead means a Visitor interaction captured through the Platform, including form submissions, appointment requests, chat messages, quick-contact submissions, phone link clicks, email link clicks, external booking clicks, order clicks, and similar call-to-action interactions.
  • Qualified Lead or Billable Lead means a Lead source that is configured by Efficio as billable for your site or subscription at the time the Lead is captured, subject to any free allowance, spam-review decision, voiding, waiver, or other billing adjustment.
  • CTA Interaction means a direct call-to-action action, such as a click on a call, email, booking, or order link. A CTA Interaction may be a Lead even when the Visitor does not submit a form or provide contact details.
  • Owner Content means business information, text, images, logos, reviews, URLs, contact details, service details, team information, pricing, availability, uploaded files, source-site material, and other material you provide, authorize us to collect, upload, import, publish, or make available through the Platform.
  • Generated Content means website drafts, copy, structure, SEO metadata, recommendations, reports, images references, and other output generated or suggested by the Platform, including output produced with artificial intelligence or automated optimization logic.
  • Third-Party Services means services not owned by Efficio that help operate the Platform, including Vercel, Supabase, Stripe, Resend, OpenAI or other AI providers, Sentry or other error/observability providers, DNS providers, browser/crawler infrastructure, and any external booking, ordering, email, payment, analytics, or social platforms you connect or link.

3. Accounts, organizations, and authorized users

You must provide accurate account, business, billing, and contact information and keep it current. You are responsible for protecting credentials, maintaining authorized access to your email and domains, and all actions taken through your account or organization. You must promptly notify us at legal@effic.io of unauthorized use, suspected compromise, or an incorrect account role.

Organization owners and administrators may invite other users, assign roles, change business settings, publish content, manage billing, report leads as spam, connect domains, and otherwise act for the organization. You are responsible for your invited users and for ensuring they are authorized to access Visitor data, billing information, and Owner Content.

4. Website creation, drafts, review, and publishing

Efficio creates a draft business website from the information you provide and, if you supply an existing website URL, from publicly reachable material associated with that source site. You authorize Efficio to crawl, fetch, process, summarize, transform, and use that source material to create and improve your website, and you represent that you own or control that source site or otherwise have the rights and permissions needed to authorize that use.

Drafts, AI-generated copy, optimization suggestions, structured data, SEO metadata, AI-search resources, service pages, blog posts, FAQs, reviews, pricing, locations, images, and other Generated Content may be inaccurate, incomplete, outdated, duplicative, or unsuitable for your business or industry. You are solely responsible for reviewing and approving every draft, factual statement, claim, image, link, review, offer, credential, price, location, availability slot, and regulated statement before publication and after any later update.

A site is not intended to be public until it is published. Once you publish a site or content update, Visitors, search engines, AI crawlers, and other third parties may access, index, cache, quote, save, or share it. We may provide sitemaps, structured data, machine-readable site summaries, and similar search/AI-search resources for Published Sites, but we do not control how third parties crawl, rank, display, or retain your content.

5. Owner responsibilities and regulated businesses

You are responsible for your business, your Published Site, your goods and services, your compliance with all laws and industry rules, and all communications with Visitors and customers. You must maintain required licenses, registrations, permits, insurance, professional approvals, disclosures, disclaimers, accessibility obligations, tax registrations, consumer notices, privacy notices, consent mechanisms, advertising substantiation, and records.

Regulated or sensitive industries, including medical, wellness, health, legal, financial, insurance, tax, real-estate, emergency, child-related, age-restricted, food, alcohol, cannabis, gambling, transportation, and professional services, may use the Platform only if they can lawfully market and provide their services and can review the site for industry-specific requirements. Efficio does not provide medical, legal, financial, tax, professional, emergency, or regulated-industry advice, and the Platform must not be used as a substitute for qualified professional judgment.

6. Content rights, source-site imports, and image imports

You retain ownership of Owner Content. You grant Efficio a worldwide, non-exclusive, royalty-free, sublicensable license to host, copy, crawl, fetch, import, rehost, resize, convert, strip metadata from, store, cache, display, publish, adapt, analyze, generate from, create derivative works from, and otherwise process Owner Content as needed to operate, secure, support, bill for, improve, and promote the Platform and your Published Site.

When you provide an existing website URL, upload an image, paste an image URL, add a Google or other review, add a logo, or approve imported content, you represent and warrant that you have all rights, licenses, consents, permissions, and notices required for Efficio and your Published Site to use that material. Imported images may be copied into platform storage and served publicly from a Platform storage URL. You are responsible for confirming that copying, rehosting, editing, and publishing those images is lawful.

To the extent Efficio owns any rights in Generated Content created specifically for your Published Site, Efficio grants you a non-exclusive right to use that Generated Content on your Published Site while you are permitted to use the Platform. This does not transfer ownership of the Platform, templates, themes, software, systems, workflows, models, prompts, style rules, generic ideas, know-how, or pre-existing materials, and it does not give you rights that Efficio or you do not have in third-party or source materials.

7. Platform intellectual property

Efficio and its licensors own the Platform, including software, code, interfaces, design systems, themes, components, templates, workflows, data schemas, optimization logic, reports, documentation, trademarks, service marks, and non-customer content. Subject to these Terms, Efficio grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for your internal business marketing purposes during your active account or subscription.

You may not copy, frame, resell, lease, sublicense, reverse engineer, scrape, interfere with, bypass access controls for, or create a competing service from the Platform except as allowed by law. Published Sites may include a “Provided by Efficio” attribution and legal/privacy links. You may not remove or obscure attribution unless Efficio agrees in writing.

8. Leads, CTA Interactions, and owner follow-up

The Platform is designed to capture conversion events. Leads may include contact form entries, appointment requests, chat messages, quick-contact submissions, direct phone clicks, direct email clicks, external booking clicks, external order clicks, page paths, UTM parameters, referrers, browser metadata, hashed IP signals, geolocation headers supplied by infrastructure providers, and other metadata described in the Privacy Policy.

You are responsible for reviewing your lead inbox, responding to Visitors, honoring appointment and availability commitments, complying with marketing, telemarketing, email, SMS, privacy, consent, and recordkeeping laws, and determining whether a Lead is useful, spam, duplicate, fraudulent, accidental, or otherwise actionable. Efficio does not guarantee the identity, intent, quality, purchase readiness, lawfulness, or commercial value of any Visitor or Lead.

9. Pay-per-lead billing and subscriptions

Efficio may bill on a pay-per-qualified-lead basis, through subscriptions, usage-based meter events, setup fees, managed-service fees, or other pricing shown in the Platform, checkout, order form, invoice, or written agreement. A Lead source is billable only when Efficio has configured that source with a billable price for your site or subscription. Lead sources without a configured price may be treated as analytics-only unless and until pricing is changed prospectively.

Billable sources may include direct CTA Interactions, even when the Visitor does not submit a form or provide contact information. For click-type sources, the Platform may deduplicate certain repeated clicks using hashed visitor signals and time windows, but deduplication is a technical courtesy and not a guarantee that every duplicate, accidental, bot, or low-value interaction will be excluded. Stripe invoices, meter records, and Efficio billing records are authoritative unless Efficio determines that an adjustment is warranted.

By starting checkout, adding a payment method, using paid features, publishing a site, or continuing to use the Platform after pricing is disclosed, you authorize Efficio and Stripe to charge your payment method for subscriptions, usage, taxes, and other amounts due. Fees are exclusive of taxes unless stated otherwise. You are responsible for all sales, use, VAT, GST, withholding, and similar taxes, except taxes on Efficio’s net income.

Efficio may update prices, billable sources, lead tiers, free allowances, and subscription terms prospectively with notice where required. If you do not accept a pricing change, your remedy is to stop using paid features, cancel as permitted, or unpublish your site before the change applies. Unless a written agreement says otherwise, fees are non-refundable and non-creditable except where required by law or where Efficio determines in its sole discretion that a credit, waiver, or refund is appropriate.

10. Free trials, allowances, spam review, and billing adjustments

Efficio may grant free trials, free lead counts, free-through dates, billing-off periods, credits, or other allowances on a website-by-website basis. These allowances are discretionary, may be administered by platform admins, may be changed or ended prospectively, and apply only as reflected in the Platform or in written communications from Efficio. Leads covered by an allowance may still be counted for product analytics and may appear in your dashboard.

You may report a Lead as spam through the dashboard where that feature is available. Reporting a Lead as spam does not automatically void a charge, waive an invoice, or prove that the Lead is invalid. It places the Lead in review and may hold pending usage from being reported to Stripe until an Efficio platform admin reviews it. Efficio admins have final authority to decide whether a reported Lead is spam, not spam, voided, restored, waived, credited, or otherwise adjusted.

If an admin confirms spam before the Lead is reported to Stripe, the pending billable event may be voided. If an admin determines that a Lead is not spam, the Lead may be restored to billable status and reported to Stripe if otherwise eligible. Already-reported meter events, closed invoice periods, failed syncs, payment disputes, and third-party billing limitations may require manual reconciliation rather than automatic reversal.

11. Payment failures, cancellation, and site availability

If payment fails, your subscription is incomplete, past due, canceled, unpaid, or otherwise not in good standing, Efficio may restrict access, pause generation, block publishing, suspend a Published Site, stop lead capture, remove custom domains, or terminate service. You remain responsible for amounts incurred before suspension, cancellation, or termination.

You may cancel through the Stripe billing portal or another method Efficio makes available. Cancellation stops future use according to the applicable billing terms but does not automatically refund prior charges, remove already-incurred usage, or delete records that Efficio must keep for legal, tax, security, billing, dispute, or operational reasons.

12. Third-Party Services and external links

The Platform depends on Third-Party Services. Your use of those services may be subject to separate terms, privacy policies, service limitations, fees, outages, geographic restrictions, and data processing rules. Efficio is not responsible for Third-Party Services, including payment processing, database or hosting outages, email delivery failures, AI provider output, search engine behavior, social media platforms, DNS providers, or external booking, ordering, map, review, profile, or payment links you add to your site.

You authorize Efficio to share data with Third-Party Services as described in the Privacy Policy and as needed to operate the Platform. If you connect or link an external booking, ordering, payment, calendar, review, or social platform, you are responsible for that integration and for ensuring the linked destination is lawful, accurate, secure, and appropriate for Visitors.

13. Privacy and data protection

The Privacy Policy explains how Efficio collects and uses personal data. For Visitor Lead data captured on your Published Site, you are the controller, business, or equivalent decision-maker, and Efficio processes that data as your processor, service provider, contractor, or equivalent role, except where Efficio uses data for its own security, billing, legal compliance, service improvement, fraud prevention, or other independent business purposes described in the Privacy Policy.

You are responsible for providing any privacy notices, cookie notices, consent mechanisms, opt-out mechanisms, and data rights workflows required for your Visitors and your business. You must not use the Platform to collect sensitive personal data, protected health information, financial account credentials, government identifiers, children’s data, or other highly regulated data unless you have confirmed with counsel that your use is lawful and Efficio has agreed in writing where required.

14. Acceptable use

You must not, and must not allow others to, use the Platform to:

  • violate any law, regulation, third-party right, contract, privacy obligation, or industry rule;
  • publish content prohibited by the Content Policy;
  • mislead Visitors, impersonate others, create fake reviews, or make unsubstantiated claims;
  • send spam, unlawful marketing, or unauthorized communications;
  • upload malware, phishing content, exploit code, or harmful files;
  • probe, scan, overload, interfere with, bypass, or compromise the Platform or Third-Party Services;
  • scrape, harvest, or misuse personal data from Visitors, owners, or other tenants;
  • use the Platform to build, train, or improve a competing product without written permission; or
  • avoid billing, manipulate lead tracking, submit fraudulent spam reports, or abuse free allowances.

15. Suspension, takedown, and termination

Efficio may investigate, refuse, remove, disable, unpublish, suspend, throttle, or restrict any account, site, Lead, content, domain, integration, or feature if we believe it violates these Terms, the Content Policy, the Privacy Policy, law, third-party rights, payment obligations, platform security, or the rights or safety of Visitors, owners, Efficio, or others. We may act immediately where we believe delay could create legal, security, operational, financial, or reputational risk.

You may stop using the Platform at any time. Efficio may terminate these Terms or your access if you breach them, fail to pay, create risk, or discontinue your business relationship with Efficio. Upon termination, your Published Site may be taken offline, your access may stop, and your content may be deleted or retained according to the Privacy Policy, legal requirements, and operational backup practices.

Platform-admin deletion of a site may permanently remove the site, organization, content, leads, domains, subscriptions, jobs, recommendations, assets, memberships, invitations, and owner accounts whose only organization was the deleted one. You are responsible for exporting or saving anything you need before deletion where export tools are available.

16. Disclaimers

The Platform, Published Sites, Generated Content, recommendations, lead tracking, analytics, reports, crawler results, third-party integrations, and support are provided “as is” and “as available.” To the maximum extent permitted by law, Efficio disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, security, and course of dealing.

Efficio does not warrant that the Platform will be uninterrupted, error-free, secure, compliant for your industry, compatible with every browser or provider, free from data loss, or that it will produce any specific traffic, ranking, AI citation, lead volume, conversion rate, revenue, appointment, customer, review, or business result. You use Generated Content, SEO suggestions, AI-search features, and recommendations at your own risk and after your own review.

17. Limitation of liability

To the maximum extent permitted by law, Efficio and its owners, officers, employees, contractors, agents, affiliates, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, lost profits, lost revenue, lost data, lost goodwill, business interruption, substitute services, reputational harm, search ranking changes, AI-search treatment, third-party platform actions, or lost opportunities, even if advised of the possibility.

To the maximum extent permitted by law, Efficio’s total liability for all claims arising out of or relating to the Platform, Published Sites, these Terms, or any related services will not exceed the greater of (a) the amounts you paid to Efficio for the affected site during the three months before the event giving rise to the claim, or (b) USD $100. The limitations in this section apply regardless of the theory of liability and even if a remedy fails of its essential purpose.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, the limitations apply to the fullest extent permitted by law.

18. Indemnification

You will defend, indemnify, and hold harmless Efficio and its owners, officers, employees, contractors, agents, affiliates, suppliers, and licensors from and against any claims, demands, actions, investigations, liabilities, damages, losses, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to: your business; your account users; Owner Content; Generated Content you approve, publish, or use; your Published Site; your products or services; Visitor communications; your billing disputes; your spam reports; your use of Third-Party Services; your violation of these Terms or the Content Policy; your violation of law or third-party rights; or any allegation that content you provided, imported, uploaded, approved, or published infringes, misappropriates, defames, deceives, harms, or violates privacy, publicity, consumer protection, professional, or other rights.

19. Copyright complaints and repeat infringers

Efficio respects intellectual property rights and may remove or disable allegedly infringing content. Copyright notices should be sent to Efficio’s designated agent after registration is completed:

A notice should include the information required by 17 U.S.C. Section 512(c)(3), including identification of the copyrighted work, the allegedly infringing material and its location, contact information, a good-faith statement, an accuracy and authority statement made under penalty of perjury, and a physical or electronic signature. We may forward notices to the affected Owner and may terminate accounts or sites of repeat infringers in appropriate circumstances. Counter-notices should include the information required by 17 U.S.C. Section 512(g)(3).

20. Governing law, venue, and class waiver

These Terms are governed by the laws of New York, without regard to conflict-of-law rules. Before filing a formal claim, the party raising a dispute must send written notice describing the dispute and requested relief to legal@effic.io or 6708 Main street, Cincinnati, OH 45244, United States, and the parties will try in good faith to resolve it for 30 days.

Subject to any rights or procedures that cannot be waived under applicable law, the state courts located in Kings County, New York, and, if federal jurisdiction exists, the United States District Court for the Eastern District of New York, will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, the Platform, billing, Leads, or Published Sites. Each party consents to personal jurisdiction and venue in those courts.

Nothing in this section limits either party’s right to bring an eligible claim in small claims court or to seek injunctive relief for intellectual property misuse, unauthorized Platform access, security abuse, or other conduct causing immediate or irreparable harm in any court of competent jurisdiction.

You and Efficio waive the right to a jury trial to the maximum extent permitted by law and agree that disputes will be conducted only on an individual basis. Neither party may bring or participate in a class, collective, consolidated, private attorney general, or representative action to the maximum extent permitted by law. If this class-action waiver is found unenforceable for a claim, that claim must proceed in court only on an individual basis unless the parties agree otherwise.

21. Changes, notices, and contact

Efficio may update these Terms from time to time. The “Last updated” date shows the current version. Material changes may be announced through the Platform, by email, or by other reasonable notice. Your continued use of the Platform after an update becomes effective means you accept the updated Terms. If you do not accept the update, you must stop using the Platform before the effective date.
